ACRA - Secretarial

Does ACRA require a qualified person to be the company secretary? Can any of the directors or staff, without any secretarial qualification, take the duty of secretary for fulfilling ACRA requirements?

The rules have changed, perhaps to help start-up small companies.
For a small registered company with ACRA, anybody who is not a shareholder or director of the company, and who is not a bankcrupt, could become the company secretary, of course with his agreement.

Must a company appoint a company secretary?

Section 171 of the Companies Act requires a company to appoint a company secretary. The office of secretary shall not be left vacant for more than 6 months at any one time.

Private limited companies need not appoint a professionally qualified secretary. However a secretary must still be appointed.

Only public companies must appoint a professionally qualified secretary. Examples of professionally qualified secretaries are lawyers, accountants and chartered secretaries.

Only Public Company and Company with foreign interest needs qualified secretary.

Local Private Company, anyone that is not barred legally can do the job.
